TERMS OF USE FOR THE RHEA WEBSITE, ONLINE PLATFORM, AND MOBILE APP

  1. GENERAL

These terms and conditions of use (“Terms of Use”) govern your access and use of our online interfaces and properties (e.g., websites, platform and mobile applications) owned and controlled by Rhea Health Inc (“Rhea,” “we,” “us,” and “our”), including the htttps//getrhea.com website, online platform https//getrhea.com/platform  and the mobile application(s) ( (collectively referred to as the “Site”). The secure portions of the Site may be accessed solely by individuals who register for and maintain a personal account (“Rhea Account”). The terms “you” and “your” means you, your dependents if any, and any other authorized person accessing your Rhea Account.

By using the Site and by clicking “I Agree”, you agree to these Terms of Use which you confirm you have read and understood. We reserve the right to change these Terms of Use from time to time at our sole discretion. Notice of changes to these Terms of Use will be posted on the Site, and will be effective thirty (30) days following notice of the changes on the Site. If you access or choose to continue to use the Site after the effective date of the change, you are deemed to have automatically accepted the change.   If you do not agree to the Terms of Use, do not use the site or provide any information to us.

These Terms of Use represent the entire understanding relating to the use of the Site, and prevail over any prior or contemporaneous, conflicting or additional, communications.

  1. CONSENT

You may also be required to register in order to use portions of the Site, including to complete, save, and submit an online assessment. Your decision to consent and provide us with your information is voluntary and optional. However, if you choose not to provide us with your information, then you may not be able to access or use all functions on the Site.

You agree that you will not provide any false information, or create an account for anyone else. If you create an account, you agree to keep the contact information up-to-date and to protect the confidentiality of your password and any other information that is linked to your account, including by restricting access to your password, your computer/phone, and your account. You accept responsibility for all activities from your account, including all purchases made through it.

In the event that the confidentiality of your account or password is compromised, you will notify us immediately. We reserve the right to take any and all action that we deem necessary or reasonable to ensure the security of the Site and your account.

  1. SERVICES PROVIDED – NO MEDICAL ADVICE

The content, materials and the services, including without limitation, text, copy, audio, video, photographs, illustrations, graphics, and other visuals made available on the Site (collectively, “Content”), is for informational purposes only and does not constitute professional medical advice, diagnosis, treatment, endorsement, recommendation, representation or warranty  of any kind by Rhea that any particular medication or treatment is safe, appropriate, or effective for you. Any healthcare services will be provided by an independent healthcare provider of your choice (each a “Provider”). (If you are a Provider, please review the section below entitled Supplemental Terms Applicable to Providers). Rhea provides movement exercise information and instructive videos for general information purposes only. You should always seek the advice of your qualified health care professionals with any questions or concerns you may have regarding your individual needs and any medical conditions. You assume the sole responsibility to discuss any Content with a qualified healthcare provider prior to relying on it and any reliance on Content is at your own risk. All information provided by Rhea, or in connection with any communications supported by Rhea, is intended to be for general information purposes only, and is in no way intended to create a provider-patient relationship as defined by provincial or federal law. Your Provider can use our products and services to better provide clinical services to his or her patients. The Providers are solely responsible for the quality and appropriateness of the care they render to you and in no event will Rhea be liable for the same.

Your interactions with the Site or service are not intended to take the place of your relationship with your regular health care practitioners or primary care physician. Neither Rhea, nor any of its subsidiaries or affiliates or any third party who may promote the Site or service or provide a link to the service, shall be liable for any information or advice obtained from the Site or service, nor any information obtained on the Site. Rhea does not recommend or endorse any specific tests, physicians, medications, products, or procedures. You acknowledge that your reliance on any information received through the Site or service is solely at your own risk and you assume full responsibility for all risks associated herewith.

From time to time, we may ask you to update information about symptoms you may experience when you use the service.  You are solely responsible for updating this information, and for its accuracy.

You should seek emergency help or follow up care when recommended by a physician or qualified healthcare provider or when otherwise needed. You should continue to consult with your primary provider and other healthcare professionals as recommended. Always seek the advice of a physician or other qualified healthcare provider concerning questions you have regarding a medical condition and before stopping, starting, or modifying any treatment or modification.

  1. THE INTERNET IS NOT A SECURE MEDIUM

We have in place physical and technical measures to protect information we collect online. However, as effective as these measures may be, no security system is impenetrable. We cannot guarantee the security of the Site or our databases, nor can we guarantee that the information you supply will not be intercepted while being transmitted to us over the internet.

  1. LINKS TO THIRD PARTY SITES AND REFERRALS TO THIRD PARTIES

The Site may provide links to third-party websites or refer you to external resources for your convenience and information. We do not endorse any third party websites or third party services, nor does the inclusion of any link or referral to an external resource imply any such endorsement. If you access those links or contact those external resources, at your discretion, you will leave the Site and will be dealing with an external third party, not with Rhea. We are not responsible for webcasting or any other form of transmission received from any third party or third party website. We do not control those websites or external resources and we are not responsible for the content of any third-party websites, any links contained in third party websites, any changes or updates to third party websites, or their privacy practices, which may differ from those of Rhea, nor are we responsible for any information or advice given by any external resource. The personal information you may choose to give to such third parties will be solely governed by the terms you agree to with such third parties. We encourage you to review the terms of use and privacy policy of any company before submitting your personal information to them.

  1. UNLAWFUL BEHAVIOUR

You agree and confirm that you will not use the Site to do anything that causes any harm or that is illegal or otherwise unlawful, including without limitation, communicating or transmitting any hateful, harassing, pornographic, obscene, profane, defamatory, libellous or threatening material, or material which constitutes or may encourage conduct that would be considered a criminal offense, gives rise to civil liability, or otherwise violates any law or regulation. You will not receive a refund of services if you are found to engage in unlawful behaviour.

WE AND ALL OTHER PARTIES INVOLVED IN CREATING, PRODUCING OR DELIVERING THE SITE ASSUME NO RESPONSIBILITY OR LIABILITY ARISING FROM CLAIMS RELATED TO ILLEGAL OR UNLAWFUL ACTIVITIES BY USERS OF THE SITE.

  1. TERMINATION OR RESTRICTION OF ACCESS

Rhea reserves the right, in its sole discretion, to prevent, intercept, delete, remove, prohibit or otherwise restrict your access to, use of, posting of content on the Site, or terminate your access to all or part of this Site, with or without cause, with or without notice, for any violations or breach of these Terms of Use, or unauthorized use of the Site, its Content and your account.

  1. MINIMUM AGE

You must be at least 18) years old to use the Site, and by using the Site, you represent and warrant that you are at least 18) years old. Any use of the Site, including any registration or attempted registration, by anyone under the age of 18) is unauthorized and is a violation of these Terms of Use. Notwithstanding the foregoing, any person under the age of 18 may use the Site under the supervision and with the consent of an individual at least 18 years of age, and using such persons Rhea Account.

  1. ORDERING AND PURCHASING OF SERVICES

Online Payments

You can purchase the services on the Site. We accept major credit and debit cards (your “Payment Method”). You authorize and agree that the Payment Method you submit may be validated and used automatically by Rhea or its payment processors for any of your responsibilities for payment. If a credit card account is being used for a transaction, Rhea may obtain preapproval for an amount up to the amount of the payment. You agree to allow Rhea or its payment processor to securely store your Payment Method. You understand and acknowledge that services may be cancelled or withheld if you revoke this authorization, and that you are still responsible for all charges incurred by you or are otherwise owed to Rhea.

You represent and warrant that if you are making online payments that (a) any credit card, debit card and bank account information you supply is true, correct, and complete, (b) charges incurred by you will be honoured by your credit/debit card company or bank, (c) you will pay the charges incurred by you in the amounts posted, including, without limitation, any applicable taxes, and (d) you are the person in whose name the card was issued and you are authorized to make a purchase or other transaction with the relevant credit card and credit card information. If Rhea is unable to secure funds from the Payment Method you provide for any reason, including insufficient funds in the Payment Method or insufficient or inaccurate information provided by you when submitting electronic payment, Rhea may undertake further collection action, including application of fees to the extent permitted by law. You acknowledge and agree that you will not dispute the charges from Rhea with the Payment Method company, provided the transactions correspond to the terms indicated in these Terms of Use.

Payment Terms

Access to Rhea Active Recovery is a one-time payment of $99 (excl. applicable taxes and fees) for 12-months access to the Service.  Refund is available within 72-hours.

Access is specific to an individual; thus access is not permitted to be shared with friends, family members, households, or members of an organization. We use information such as device ID, method of payment or an email address used with an existing or recent Rhea account to determine eligibility. All sales are final. Clinics may also provide discount / pre-paid codes which may waive fees associated with your account.

Typographical Errors and Incorrect Pricing

In the event a service on the Site is listed at an incorrect price due to typographical error or error in pricing information received from a third party, Rhea reserves the right in its sole discretion to refuse or cancel any orders placed for such services listed at the incorrect price. We shall have the right to refuse or cancel any such orders whether or not the order has been confirmed and your credit or debit card charged. If your credit or debit card has already been charged for the purchase and your order is cancelled, we will promptly issue a credit to your credit or debit card account in the amount of the charge.

  1. ELIGIBILITY; SITE ACCESS, SECURITY AND RESTRICTIONS; PASSWORDS

You agree to fully, accurately, and truthfully provide all necessary information to create your Rhea Account, including but not limited to your name, mailing address, email address, and password, which become your Rhea ID and credentials (“Rhea ID”). The Rhea ID is personal to you, and you are solely responsible for maintaining the confidentiality of your Rhea ID, and for all activities that occur under such Rhea ID. You agree to prohibit anyone else from using your Rhea ID other than your eligible dependents or authorized individuals and agree to immediately notify Rhea of any actual or suspected unauthorized use of your Rhea ID or other security concerns of which you become aware. Your access to the Site may be revoked by Rhea at any time with or without cause.

You are prohibited from violating or attempting to violate the security of the Site, including, without limitation: (a) accessing data not intended for such user or logging onto a server or an account which the user is not authorized to access; (b) attempting to probe, scan, or test the vulnerability of a system or network or to breach security or authentication measures without proper authorization; or (c) accessing or using the Site or any portion thereof without authorization, in violation of these Terms of Use or applicable law.

You may not use any scraper, crawler, spider, robot, or other automated means of any kind to access or copy data on the Site, deep-link to any feature or content on the Site, bypass our robot exclusion headers, or other measures we may use to prevent or restrict access to the Site. Violations of system or network security may result in civil or criminal liability. Rhea may investigate occurrences that may involve such violations and may involve, and cooperate with, law enforcement authorities in prosecuting users who are involved in such violations. You agree not to use any device, software, or routine to interfere or attempt to interfere with the proper working of this Site or any activity being conducted on this Site.

If you become aware of any compromise, theft, loss, or any other form of unauthorized use of your account, please notify Rhea immediately by contacting privacy@getrhea.com

  1. ELECTRONIC COMMUNICATIONS

When you use the Site, or send e-mails, messages, and other communications from your desktop or mobile device to us, you are communicating with us electronically. You consent to receive communications from us electronically. You agree that (a) all agreements and consents can be signed electronically and (b) all notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such notices and other communications be in writing. Rhea may contact you by telephone, mail, or email to verify your Account information. Rhea may request further information from you and you agree to provide such further information to ensure that you have not fraudulently created your Account. If you do not provide this information in the manner requested within 14 days of the request, we reserve the right to suspend, discontinue, or deny your access to and use of the Site and its Content until you provide the information to us as requested. Rhea will not be liable for your information stored or recorded by any computer, tablet, mobile device or any network, whether public or private, that you may use to access the Site.

  1. INTELLECTUAL PROPERTY

Except for information provided by you to use the Site and third-party owned information licensed by Rhea, Rhea retains all right, title, and interest in and to the Site, any Content, documentation, or other materials on the Site, and any patent, copyright, trade secret, trademark, service mark, or other intellectual property, or proprietary right in any of the foregoing (collectively “Rhea IP”). Copyright in the Site and its Content (including all text, graphics, layouts and images) is owned by Rhea, and all rights are reserved by Rhea in that copyright. Registered and unregistered trademarks owned by Rhea are displayed on and are also accessible through the Site.

You must not use any Rhea IP except in the manner described below. You may use the IP for private, non-commercial purposes; and print or otherwise save individual pages for private use.

However, Rhea IP may not be modified or altered in any respect, merged with other data or published in any form, in whole or in part. The prohibited uses include “screen scraping”, “database scraping” and any other activity intended to collect, store, reorganize or manipulate data on the pages produced by, or displayed on, the Site. You agree not to store, copy, modify, reproduce, retransmit, distribute, disseminate, rent, lease, loan, sell, publish, broadcast, display, or circulate such information to anyone. You may not publish any hyperlink to the Site or use any materials, names or marks in any way to give the erroneous impression that an individual, entity or website is somehow affiliated with Rhea. Use, reproduction, copying, or redistribution of Rhea or third-party trademarks, service marks, and logos are strictly prohibited without the prior written consent of Rhea or such third parties.

  1. ACCURACY OF INFORMATION; FUNCTIONALITY

Although Rhea attempts to ensure the integrity and accuracy of the Site and service descriptions, it makes no representations, warranties, or guarantees whatsoever as to the correctness or accuracy of the Site, service descriptions and other content on the Site. It is possible that the Site could include typographical errors, inaccuracies or other errors, and that unauthorized additions, deletions, and alterations could be made to the Site by third parties. In the event you become aware of an inaccuracy, please inform Rhea. Rhea may take commercially reasonable measures to verify and correct such inaccuracy. Information contained on the Site may be changed or updated without notice. Additionally, Rhea shall have no responsibility or liability for information or content posted to the Site from any non-Rhea affiliated third party.

Rhea each reserves complete and sole discretion with respect to the operation of the Site and the services. We may withdraw, suspend, or discontinue any functionality or feature of the Site or the services among other things. We are not responsible for transmission errors, corruption, or compromise of information carried over local or interchange telecommunications carrier. We are not responsible for maintaining information arising from use of the Site or with respect to the services. We reserve the right to maintain, delete, or destroy all communications or information posted or uploaded to the Site or the services in accordance with our internal record retention or destruction policies.

  1. USER INFORMATION

If you submit, upload, post, or transmit any personal information, medical history, conditions, problems, symptoms, consent forms, agreements, requests, comments, ideas, suggestions, information, files, videos, images, or other materials to us or our Site (“User Information”), you agree not to provide any User Information that (a) is false, inaccurate, defamatory, abusive, libelous, unlawful, obscene, threatening, harassing, fraudulent, pornographic, or harmful, or that could encourage criminal or unethical behavior, (b) violates or infringes the privacy, copyright, trademark, trade dress, trade secrets, or intellectual property rights of any person or entity, or (c) contains or transmits a virus or any other harmful component. You agree not to contact other Site users through unsolicited e-mail, telephone calls, mailings, or any other method of communication. You represent and warrant to Rhea that you have the legal right and authorization to provide all User Information to Rhea for your use of the Site and its Contents.

Rhea may delete any information provided by you that it deems in its sole discretion to be fraudulent, abusive, defamatory, obscene, or in violation of copyright, trademark, or other intellectual property or ownership right of any other person or entity.

Rhea may de-identify your information and collect statistics relating to your use of the Site such that it is considered non-personally identifiable information and use such information in an aggregate anonymised manner. Rhea may disclose or sell such information to third parties for analytics, research, or other purposes, or use the information for sales, marketing, business development, product enhancement, or customer service initiatives.

  1. SUPPLEMENTAL TERMS APPLICABLE TO PROVIDERS

These supplemental terms apply to healthcare professionals that use the Site to develop relationships with other users of the Site (such professionals referred to as “Providers”).

AS A PROVIDER, YOUR RELATIONSHIP WITH THE RHEA PRODUCT USERS IS DIRECTLY BETWEEN YOU AND THE PATIENT. THE PATIENT WILL NEVER HAVE A PHYSICIAN-PATIENT RELATIONSHIP WITH RHEA. RHEA DOES NOT PRACTICE MEDICINE AND OFFERS NO MEDICAL SERVICES. AS SET FORTH MORE FULLY BELOW, PROVIDER IS SOLELY RESPONSIBLE FOR ALL AGREEMENTS, CONSENTS, NOTICES, AND OTHER INTERACTIONS WITH PATIENTS AND OTHER CONSUMERS. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, PROVIDER IS SOLELY RESPONSIBLE FOR ALL BILLINGS AND COLLECTIONS FROM PATIENTS AND OTHER CONSUMERS, AND RHEA SHALL HAVE NO LIABILITY WHATSOEVER TO PROVIDER WITH RESPECT TO ANY AMOUNTS OWED BY ANY PATIENT OR OTHER CONSUMER TO PROVIDER.

Rhea does not provide any medical advice, legal advice, or representations in any way regarding any legal or medical issues associated with Provider, goods, or services offered by Provider, including but not limited to any compliance obligations or steps necessary to comply with any federal, state, provincial or local laws and regulations. Provider should seek legal counsel regarding any legal and compliance issues, and should not rely on any materials or content associated with the Site in determining Provider’s compliance obligations under law. THE SITE IS NOT MEANT TO SUBSTITUTE OR MODIFY YOUR PROFESSIONAL JUDGMENT IN ANY WAY.

  1. DISCLAIMER OF WARRANTIES

The Site, including any Content made available on or through the Site, is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Rhea expressly disclaims all representations, warranties and conditions of any kind, whether express, implied, statutory or collateral, including, without limitation, any warranty or condition of merchantability, fitness for a particular purpose and non-infringement.

In addition, we do not make any representation, warranty, or guarantee (i) relating to the accuracy, completeness, reliability, timeliness, quality, suitability, safety or availability of the Site or any Content accessed through the Site, (ii) that the Site will meet your requirements, (iii) that the Site will be uninterrupted, secure or error-free, (iv) that messages or requests will be delivered or defects will be corrected, or (v) that the Site is free of viruses or other harmful components. Information that is periodically updated may not be current at the moment you visit the Site and may contain errors.

Your use of or reliance on the Site and its Content is at your sole risk and you agree to assume all such risk arising from the same. You are responsible for verifying any content before relying on it.

  1. NO LIABILITY

In no event will Rhea, its affiliates or its third party service providers be liable for any damages whatsoever, including, but not limited to, direct, indirect, incidental, punitive, special, exemplary, or consequential damages, including negligence, personal injury, lost income or lost data, related to, in connection with, or otherwise arising out of (i) the use and reliance on the Site, inability to use, or the results of the Site, (ii) any websites linked to the Site, any external resources referred to or linked to on the Site, (iii) the Content of the Site, (iv) any action or inaction by you in reliance on the content provided through the Site, (v) any compromise of the confidentiality of your Rhea ID or account — whether based on warranty, contract, tort or any other legal theory and whether or not advised of the possibility of such damages.

In no event will Rhea be liable for any failure to notify others of any potential of self-harm by you or others.

  1. INDEMNIFICATION

You agree to defend, indemnify and hold harmless Rhea, its affiliates and their respective officers, directors, employees, agents, representatives and service providers, including all third parties referenced or mentioned on the Site, from and against any and all claims, actions or demands, losses, liabilities and expenses including without limitation, reasonable legal and accounting fees, resulting from or related to: (a) your breach of these Terms of Use; (b) your access to, use of, or reliance upon the Site, your personal information that is accessible through the Site, or the Content of the Site; or (c) your infringement of any intellectual property or privacy rights of any person.

  1. NO WAIVER

Rhea’s failure or delay to enforce any of the terms and conditions under these Terms of Use shall not operate as a waiver of any of Rhea’s rights or privileges under these Terms of Use.

You agree that if any part of these Terms of Use is determined to be invalid or unenforceable, the invalid or unenforceable provision will be struck and not affect the validity and  enforceability of the remainder of these Terms of Use which shall continue in full force and effect.

  1. GOVERNING LAW

The Site and its Contents are designed to comply with Canadian laws and regulations and those of the province in which you live or in which the service is provided. Although the information on the Site is accessible to users outside of Canada, it and its Content are intended for access and use by Canadian residents only.

These Terms of Use will be construed and enforced in accordance with the laws of the Province of Ontario, Canada, and the courts located in Toronto shall have exclusive jurisdiction over any legal action that arises out of or in connection with these Terms of Use.

  1. SITE SUPPORT
